恒大危機是陸版的「雷曼時刻」？

2008年9月15日雷曼兄弟宣布倒閉，並擴大成舉世震驚的全球金融危機。
《法新社》報導稱，大陸近年啟動反壟斷反資本行動，從電商到網購，對大陸科技巨頭發動嚴厲的監管行動。近年來快速成長的房地產業也成為打擊的目標，導致融資緊縮，一些知名的房地產企業經營陷入困境。
7/23日，大陸住房和城鄉建設部等八部門聯合印發關於持續整治規範房地產市場秩序的通知，進一步加大了業内對於下半年樓市調控從嚴、從緊的預期，讓房市雪上加霜，導致陸港外資紛紛逃離大陸A股市場。
近期大陸房地產巨擘「恒大集團」也隨之爆發財務危機，市場擔憂其會催化大陸房地開發商的破產潮，更被外界視為是陸版的「雷曼時刻」？
一、李嘉誠、潘石屹、王健林的神機妙算
大陸銀保監會主席郭樹清曾對炒房者提出嚴厲警告。他說，自20世紀以來，世界上130多次金融危機中，100多次與房地產有關。房地產泡沫是威脅金融安全最大的灰犀牛，炒房者一定會「付出沉重代價」。
大陸為了控制房價快速上揚，近年來官方持續進行金融與行政調調控措施，各種奇怪的限購規定與貸款緊縮政策幾乎全用上了。據統計，僅2021年前7個月，大陸各地出台的房地產調控措施就多達352次，比去年同期多了16次。
在連續重手導致大陸房地產在進入2021年夏季後市場交易急凍，業者普遍出現流動性問題，最後被迫殺價求售卻受阻於限跌令，已有業者出現倒閉危機。
例如號稱永不跌價的一線城市深圳從3月份起房市成交量急凍，6月份二手房成交量同比下跌近80%，7月、8月成交量更加速下滑，新房成交量也出現5連跌，許多房產仲介商加速倒閉。雖然在官方支撐下深圳房市售價只跌了15%，但是沒有成交量卻是冷酷的事實。
如今恒大地產在房市轉冷後也發生流動性枯竭，8月出現信貸違約問題，企業經營面臨危機。
許多人回顧地產圈的3位提前套現離場的大佬：包括多年前出清大量資產轉後投資歐洲的前華人首富李嘉誠；以及賣光資產溜到美國的大陸知名地產商潘石屹夫婦；還有果斷出脫海外資產快速降低負債來應付可能風暴的前中國首富王健林，這3位傑出的房地產業者應對市場形勢的決斷力及神操作方式有許多值得借艦之處。
1、李嘉誠—薑是老的辣，避禍江東
李嘉誠靠房地產起家，曾連續3年蟬聯亞洲首富、連續15年蟬聯華人首富，可說是華人當中從地產賺到最多財富的商人。他的至理名言是「不賺最後一個銅板」是大家耳熟能詳的投資金句。李嘉誠從2013年起開始出脫大中華區的地產，8年來累計至少拋售了3000億港元(約合台幣1.1兆元)的資產。其中最後一筆交易是2020年9月份，以500億人民幣的高價出售了位於京滬的兩處物業。
李嘉誠2013年起陸續出清大陸與香港資產轉向歐洲發展，2019年李嘉誠受採訪時說，經過十幾年的高速發展後，房價、地價都已經太高了，未來房地產的利潤會下滑，已經沒有多少投資價值了。
2021年2月美國《富比士》公佈2021最新香港富豪榜，李嘉誠以354億美元的身家，重奪香港首富的頭銜。
2、潘石屹—「李嘉誠第二」
潘石屹和張欣是中國地產界最知名的夫妻檔。兩人於1995年共創SOHO中國，成為中國商業地產知名企業。
潘石屹和李嘉誠一樣，這幾年也一直在出脫旗下的地產業務。由於他一直模仿李嘉誠的操作，也有人稱他「李嘉誠第二」。
他跟在李嘉誠之後，從2014年開始出脫上海、北京的地產，至今套現超過300億元人民幣，並在2018年左右開始前往美國購置產業，大陸媒體分析潘石屹此舉是對中國市場萌生退意。
最近一筆打算將SOHO中國91%股權以7折打包出售美國黑石集團，交易額高達約30億美元(118億元人民幣) ，但被大陸監管單位在6月依《反壟斷法》審查，9月10日予以否決。就在這審查的一個多月中，SOHO中國的股價又跌了近3成。業界分析稱，如果潘石屹早一年出售，這交易早就順利過關，相較李嘉誠，潘石屹還是不夠果斷。但總體而言，他套現離場的金額已經不少，即便遇上風暴也能保全實力。
3、王健林—龜息大法
最後一個值得討論的案例，也是因房地產起家而成為中國首富的王健林。
他2017年察覺到金融政策收緊可能對房地產行業的重擊，立即對手上房地產進行去化，將文旅酒店和部分獲利資產如萬達廣場等悉數脫手，才大張旗鼓入手沒多久的海外投資更是快速變現出清，私毫不顧自己的面子問題，在2年極力瘦身
降低債務比例後，現在面臨房地產業危機反而顯得輕快靈活。
現在王健林從過去大量開發新資產轉為經營少數獲利高的舊資產，在金融緊縮的環境下可輕車簡從渡過可能的危機，更見果斷瘦身的遠見與決心，可說是面對變局而能化險為夷的成功典範。
二、「三條紅線」整治為大陸房市轉涼埋下伏筆
為了控制房價快速上揚，近年來大陸官方持續進行金融與行政調調控措施。
大陸監管層在2017年就強調金融資源要扶持實體經濟，脫虛向實。官員也多次強調，不要妄圖透過借助金融資源將自己做大，反過來挾持金融體系。
最終，大陸監管層用近乎金融機構的管理方式，來管理地產開發商的資產負債表。大陸官方為整頓房地產開發商，祭出「三條紅線」政策，從收入到負債，針對預售、槓桿和流動性三項，劃出「三條紅線」，作為監管出手的準則。
這一切得從2020年8月20日一場會議開始，彼時人民銀行和住建部等部委召集12家龍頭房企高管，要求房企爭取實現「剔除預收款後的資產負債率小於70％、淨負債率小於100％、現金短債比大於1倍」的目標。並據此「三道紅線」指標，監管層對房地產企業分成4類，不同檔位的房企獲得融資待遇也不同，其中，三條全部不達標為紅檔，不得增加有息負債。
從數據上看，整體央企能夠滿足全部政策要求的企業比例達到 64％，地方國企達到26％，相比之下，民營房企合規比例僅占18％。所以民營房企的整頓，將成為監管出手的重心。
從2020年8月官方劃出的「三條紅線」背景下，明確規範了房企的資產負債率、淨負債率及現金短債比，讓過去民營房企賴以生存的高周轉、高負債和高槓桿模式，受到全面整頓。大陸經過連續多年的房價調控措施，今年終於出現比較明顯的房價下滑趨勢。
三、2021年上半年的房地產「死貓跳」讓地產業失去戒,心
據大陸房地產機構指出，2021年上半年的房地產之所以漲幅快，關鍵的原因是2020年受疫情影響被抑制的購房需求快速釋放。
但從5月開始，官方調控再度加碼，房市熱度瞬間轉涼，這也就是7月以來房產銷售不理想，量價齊降的根本原因。
統計今年1—8月，大陸全國各大城市住房調控累計達到352次，平均每個月調控50多次。監管層想藉由調控住房成本，讓住房開支減少，進而增加生育率，這也成為2021年之後的新信號。
大陸住建部、央行等8部委近期也聯合行動，展開為期3年的房地產整治計畫，「穩房產」排第一位。
按照監管要求，到2023年6月底，12家試點房企的「三道紅線」指標必須全部達標，2023年底所有房企實現達標。對於房地產行業來說，這無疑是一次革命性的變化。過去幾十年，大陸眾多房企賴以生存的「三高」─高周轉、高負債和高槓桿模式受到全方位狙殺。眾多房企不得不減少拿地、降低負債，並重新思考行業和企業的未來。
而「恆大集團」未把握時效逃生，自然首當其衝、受到全面狙殺。如同「阿里巴巴、螞蟻科技、滴滴打車」，民營房企的「恆大集團」自然成為殺雞儆猴的最佳祭品。
四、恒大集團的巨星隕落
大陸恒大集團以房地產為主業，以銷售總額來看，是大陸第二大的房產公司，並在大陸的280多個城市擁有超過1300個房地產項目。
恒大集團是知名的大型民營企業，除了本業房地產，近幾年快速擴張至其他陌生行業，包括礦泉水、太陽能、足球俱樂部、電動汽車製造、甚至醫療健康，但幾乎都是虧損累累。尤其投資的恒大汽車至今尚未出售過任何一輛汽車，其他諸如旅遊、互聯網、數位產業、保險以及期望規模超過迪士尼樂園的兒童休閑公園也因疫情受到不小的影響。
恒大集團近日債務危機正在快速爆雷，已經出現違約、延遲兌付，已有至少2家債權人要求立即償還貸款，在香港上市的恒大集團相關美元債券跌勢不休，並遭國際信評公司調降信用評級。
恒大集團號稱在中國有20萬雇員，直接與間接提供數百萬個就業崗位。
《法新社》報導稱，恒大破產清算風險可能產生非常嚴重的後果，影響層面不只是經濟，甚至會影響社會穩定。為解決緊迫的債務問題，恒大集團已經出售部分資產與股份，甚至將手中房地產降價求售。
日前恒大集團發布的半年業績報告顯示，2021年上半年凈利潤下降29%，恒大集團股價也在一年內下跌了70%，而恒大集團美元債也跌勢不休，該公司多數債券已跌至面值的3成以下。
恒大集團的負債太多，負債超過3000億美元，債務壓力本就相當沉重，現在股債跌跌不休，恆大公開坦承9月的房地產銷售量出現明顯惡化，讓原本相當嚴重的現金流問題更難收拾；財務危機更蔓延到其他子公司企業，已傳出各種破產、倒閉流言，並遭國際信評公司調降信用評級。
恒大集團經營危機爆發至今已有3個月，雖然現金周轉出現問題，廠商付款拖延、股價下跌、債務違約等現象頻頻爆發，但公司仍在運作。
但恒大財富在9月8日透過旗下員工發出消息，停止兌付所有理財產品孳息與利潤。消息傳出後在恒大財富的投資人間引爆恐慌。
此一事件恐怕將成為恒大經營危機的轉捩點，因為這些投資戶並非購買恒大房地產的買家，而是購入集團內恒大財富公司理財商品的投資者，事件可能讓恒大的房地產商經營危機演變成投資公司違約的金融危機。
恒大財富是恒大集團為了緩解現金流壓力所設立的投資理財公司，購買其理財商品的大多都是恒大集團內員工與員工親屬，這種現象過去在其他國家與台灣都曾出現過。投資戶購入理財商品可以按期領取一定的獲利或孳息，與前幾年流行的P2P網路金融不同的是，P2P的金融商品要自行招徠客戶投入資金，恒大財富的做法比較乾脆：強迫員工認購，不買就滾蛋。
據匿名的恒大員工在網上透露，恒大集團的大部分員工都被指派募集投資的任務，高層主管配額1000萬元(人民幣，下同)，次一級的600萬元，中層主管48萬元，普通員工18萬元。募集任務未達配額標準的要罰款、降級或扣薪，主管還要按部門募資績效進行檢討，並列入考核。因此許多人不只自己買，也遊說親友購買，有些人還向銀行貸款來投資賺取利差，恒大財富則會協助客戶從銀行取得貸款。而且恒大不只要求員工推銷與認購，連業務有往來的供貨與施工廠商請款時也會被要求購入請款金額1成的理財商品，如果不買，請款會遭惡意拖延。
大陸財經媒體傳言，恒大財富利用集團員工及廠商認購，大約獲得400億元資金。一旦停止兌付，許多投資者在銀行的貸款會付不出本息，投更擔心投入的本錢拿不回來。
對大陸財經主管當局來說，地產公司倒閉，資產清盤後影響有限，但經營理財商品金融業務，一旦倒閉可能會拖累銀行並形成連鎖效應，甚至引爆金融危機。
外界盛傳許家印打算讓恒大破產重組，但公司出面指控是市場謠言，但無風不起浪，公司前不久才雇用了專門做兼併收購資產重整的華利安諾基(Houlihan Lokey)投資銀行，破產的傳言因此不脛而走。
由於恒大集團已經觸碰了大陸官方設定資產與負債的「三條紅線」，這樣的企業已是北京決心整頓的企業，挽救的可能性極低。最後可能的情況是，恒大可能被迫以折價出售資產，但不會出現意外大風暴。
不只如此，恒大財富違規吸金的方式還有觸法嫌疑，許家印本人與相關負責主管可能免不了一場牢獄之災。總之，房產企業大到不能倒的故事，正在走下神壇。
五、恒大集團的隕落，是不是會引發骨牌效應？會不會帶來系統性風險？
■恒大債務風暴係信心危機，個別房企可倒、但政府不會讓房市崩盤
近期大陸最大的地產開發商恒大集團「債務問題」再度惡化，可能導致鉅額違約？此引發大家高度關注，恒大集團「債務問題」是否將引爆系統性風險可能？
恒大集團原本僅是一家小型地產公司，創辦人許家印利用其豐富的人派與關係快速茁壯，除了房地產事業外，還涉足物業管理、旅遊業、礦泉水、老人公寓、醫院、網路媒體、人壽保險、足球俱樂部、音樂、養豬以及新能源汽車等，屬典型的產業野蠻成長。
恒大透過「高槓桿」方式快速發展，實施「以債拉動式」的成長模式，快速擴大其規模，然而也暴露在極大的風險中。
例如2015年大陸房地產銷量和房價曾發生暴跌，恒大即爆發債務危機，後來因獲得中國銀行、中國農業銀行、中國郵政儲蓄銀行，以及中國民生銀行等四大銀行總價值1000億元人民幣的信貸額度，恒大順利脫離險境，但恒大並未懸崖勒馬、持續擴張事業版圖。
在2017年10月公布的《胡潤中國富豪榜》，許家印還一度超越雙馬(阿里巴巴的馬雲與騰訊的馬化騰)，以2900億元人民幣的資產成為中國首富。
許家印曾在會議上承認，恒大集團目前的處境是公司決策出了問題，2017年形勢大好時錯估形勢、盲目擴張，除了地產之外還投資礦泉水、太陽能、足球俱樂部、電動汽車、醫療衛生，擴大財務杠桿後負債快速累積，導致每年利息支出超過1000億元。這些產業動輒投資數十億上百億，最後都以嚴重虧損收場。
在香港上市的恒大集團旗下股票，市值從14444億港幣暴跌至1844億港幣，蒸發超過1兆港元，前後也只花了1年多的時間。
恒大目前的總債務已逾越3000億美元、成為全球最大的負債地產開發商，已屬「大到不能倒」的企業，若其倒閉將衝擊貸款銀行、購屋民眾、股票與債券投資人、十餘萬的員工的生計。
投資大師索羅斯日前在《金融時報》撰文直指恒大違約可能導致中國的經濟崩潰。事實上，恒大債務風暴係信心危機，端視政府是否願意介入穩盤？只要政府願意適時介入，即不會形成連鎖反應，就不會引爆系統性風險。而答案，應是肯定。
■大陸房市「藏富於民」，「雙向調控」是步向「共同富裕社會」的唯一對策
根據wind資料，2021年大陸房企到期債務規模達到1.2兆元人民幣，月均超過1000億人民幣。所以，房企都把降低負債，優化「三道紅線」當做首要戰略。
目前城鎮化放緩，人口紅利逆轉，房市需求虛弱；但房價虛高，房企背負高額負債，房市供給過剩…只能說，現況實在有些岌岌可危，但房地產泡沫又不能破。因為一旦房地產泡沫破滅，大陸經濟將停滯下來，而伴隨著經濟停滯的，是大量貨幣湧向市場導致的通貨膨脹，停滯和通脹將並存，這就是可怕的滯脹。
所以，當大陸一線城市紛紛升級調控政策讓房市退燒之際，部分三、四線城市卻逆向操作，出手限制房價跌幅，也讓大陸房市出現「限跌令」和「限漲令」並存景況，房地產市場也由此進入了雙向調控時代，這種弔詭現象，暗示房市只能穩、不能大漲、不能大跌的窘境。亦即，政府不會坐視房市崩盤。
另外，國人普遍有「有土斯有財」的理財觀，加上國內缺乏投資管道，因此房市乃成為「藏富於民」主旋律，估計國人有7成財富儲存於房產。假若房市崩盤，全民財富縮水，消費力不振，那麼「共同富裕社會」的願景將遙不可及。所以，「雙向調控」成了步向「共同富裕社會」的唯一對策。
例如8月21日，湖南岳陽發文規定商品房銷售的實際成交價格既不能高於備案價格，也不得低於備案價格的85％，成為第一個祭出「限跌令」的城市。8月31日，江蘇的經濟強縣江陰也對房市發文提出嚴禁低價傾銷、打價格戰，堅決杜絕惡性競爭、降標降質、逾期交付等違規違法行為。還有岳陽、唐山、瀋陽、菏澤、昆明、惠州、桂林等地最近都發布類似「限跌令」政策。綜觀發布「限跌令」的大都以三、四線城市為主，且也大多經歷了房市成交量的持續下滑。
「限跌令」正折射部分非熱點三、四線城市在嚴厲調控之下成交持續低迷，而房企在「三道紅線」等政策的約束下，資金壓力逐漸顯現，房企為了盡快回籠資金採取「以價換量」的對策，自求多福。
六、跋尾—恒大經營危機與「第三任期」孰重？
回顧歷史，中共已故領導人毛澤東，被譽為「偉大的舵手」。
另外，被譽為中國「社會主義改革開放總設計師」的鄧小平則提出中國現代化「三步走」，即在1990年、20世紀末和21世紀中實現國民生產總值連續翻番，分別實現溫飽、小康、達到中等發達國家水平的目標。
現年67歲的的習近平主席從未公開表示過他的任期願望，但他在2018年取消了《憲法》規定的國家主席任期不得超過兩屆的限制，這一舉動似乎暗示他不打算在2022年兩個任期結束後辭職，並為建成比較完善的社會主義市場經濟體制努力。
2017年10月，習近平主席在繼毛主席之後，成為將他的思想冠名進入黨章的第二位中國領導人。上次中共第十九屆五中全會更罕見地將接下來的5年規劃與未來15年的目標（即2035遠景目標）一起提出；同時強調中共建政100週年（2049年）的目標—稱要「確保如期全面建成小康社會、實現第一個百年奮鬥目標，為開啟全面建設社會主義現代化國家新征程奠定堅實基礎。」
這種宏大目標，顯示習近平主席想把自己做成「範式性的領導人」，如鄧小平一樣成為「總設計師」，並將2020年到本世紀中的目標分成兩階段。2020年到2035年為第一階段，目標是基本實現社會主義現代化；之後第二階段的目標是實現「富強民主文明和諧美麗的社會主義現代化強國」。
在2020年底中共開始展開「反壟斷」行動，如螞蟻金服等網路科技企業遭受整頓，而在2021年七一建黨百年慶祝活動後，叫車平台滴滴出行被審查、教育「雙減」政策亦攻陷補教業、逃漏稅的「劣跡藝人」被封殺等，近期在資本、教育、媒體等各領域監管風暴席捲。
當前有許多分析將這次「監管風暴」比喻為「新文革」、「新土改」，其實並不準確。習近平主席如今權力穩固，他著眼的一定是「歷史定位」。在目前內外情勢下，中美緊張關係是可借力之兵，應會蹦緊到2022年；而內政上應以先「安內」、再「攘外」為原則，當務之急是處理貧富差距、貪腐勢力，以持續加強「監管」，建立「共同富裕社會」為主。透過廣大中產階級支持，「第三任期」自然水到渠成。
由於恒大仍擁有大量的資產，包含土地與未完工的住宅，子公司也有一定的價值，中共正施壓恆大出售資產變現，並分拆子公司，已有不少企業有興趣接手，只是還在等待恆大持續降價。
相信官方必要時將指定國企或大型民企接手，故應能減緩恒大債務危機的影響，防範波及其他產業，將衝擊面降低。
而隨著2022年時間漸漸接近，習近平主席應會出面拍板平息紛擾，不會任由爆發金融風暴，藉此彰顯威望。所以「恒大事件」將只是插曲，還不至於演變成如2008年雷曼兄弟破產的全球或區域型的金融危機。想想習主席的企圖心，相信您會有理性的判斷。
