乙方：zz股份有限公司

xx年 xx月 xx日 於 xx市 簽署
簽訂協定的甲乙雙方均為獨立的法人。甲、乙雙方本著自願、平等、互惠、互利、誠實信用的原則，經過友好協商，由乙方向甲方提供相關管理顧問服務相關事宜，依照中華民國相關法律，訂立如下協議條款，以資共同恪守履行。
一、廣告行銷顧問內容
1、甲方委託乙方，作為甲方的相關廣告行銷顧問事宜。
2、委託方式：
(1) 由甲方提供財務支持，委託乙方建置電子商務網站，以做為甲方線上廣告行銷載具，乙方除受託網站建置外，亦有義務持續提供網站功能程式更新、程式升級、內容更新等事宜，以及網站每日防駭、資訊安全等相關維護。
(2)至於網上創作內容之所有權可歸屬乙方、但甲方則擁有使用權。甲、乙雙方本著自願、平等、互惠、互利、誠實信用的原則，經過友好協商，共同恪守履行權利義務。
3、乙方廣告行銷顧問服務內容包括：
(1)乙方提供建置域名為2home.co之電子商務網站，並執行環緯公司指定之廣告行銷活動，對外部廠商所提出物流供應鏈作業面及管理面問題進行研究設計、並協助提供報價、簡報、議價、合約簽定及物流供應鏈系統建置等服務；另對各單位提供必要培訓與技術支援（疫情期間可改以線上諮詢或培訓）。
(2)乙方須每日提供2home.co電子商務網站之系統維護服務，包括網站功能更新、資訊系統升級、網站內容更新、廣告行銷廣告活動制定、電子商務潛在客戶和商機開發諮詢、人力資源開發等服務（大型專案可視情況，另行專案議價補貼經費）。
(3)乙方須每日提供2home.co電子商務網站之防駭、資訊安全等相關維護等服務。
4、委託廣告行銷顧問顧問合作期限：xx年 xx月 xx日—xx年 xx月 xx日，協議期滿評估成效，雙方再重新協商、議價，通過績效評估再另行簽訂下階段合作協定。
二、廣告行銷顧問服務計費模式
（一）廣告行銷顧問服務費用為：
甲方同意對乙方提供2home.co之電子商務網站之建制、營運及系統維護經費服務：第一年支付乙方新台幣xxx萬元，之後每年依績效評估另行議價。
（二）專案廣告行銷顧問服務費用為：
甲方若有特殊廣告行銷顧問服務，乙方須提供專案服務，乙方可專案報價請款；雙方本著自願、平等、互惠互利、誠實信用的原則，經過友好協商定價，並在乙方專案提供、實施、售後服務和結案後，支付價金。
三、合作要求
1．經甲乙雙方協商，乙方須按照約定時間內，完成2home.co之電子商務網站之建制、營運及系統維護服務任務，否則甲方有權取消或降低乙方合作資格或經費。
2．雙方同意皆遵守《誠信約定》。
四．保密事項
1．乙方作為甲方委託廣告行銷顧問服務合作夥伴，乙方需嚴格保障甲方所有商業不予洩露，若有關甲方之產品、銷售等資料、知識、價格、流程等商業機密外洩，乙方須負完全損害賠償之責；如乙方管理不當，導致甲方商業機密外洩或經營損失，則乙方需賠償甲方xxx萬元，賠償金額不足於彌補甲方損失，按照甲方實際損失進行賠償。
2．保密資訊包括但不限於甲方之營業秘密，商務機密，與產品有關之功能、規格、產品方案、價格資料，解決方案，與技術有關之知識及資訊，創意，設想，方案，提供物品或廠商資料，客戶資料，人事資料，商業計畫，促銷及行銷活動，財務狀況及其它商務活動等。保密資訊呈現之形式及載體包括但不限於書面或口頭，檔，磁片，磁碟片，光碟片，電子郵件，電磁紀錄，報告，文字往來，錄音帶，錄影帶，筆記，圖紙，模型，規格說明，彙編檔，電腦程式及其它媒體。以及甲方產品功能、規格、產品方案和解決方案等。
五．廣告行銷顧問合約終止
1．乙方如未能遵守上述保密條款，則甲方有權利中止與乙方顧問合約。
2．因不可抗力致使乙方不能實現委託廣告行銷顧問合約目的。
3．甲乙雙方協議解除顧問合約或有其他法定事項時，本顧問合約終止。
六．爭議解決方式
如發生顧問合約爭議，雙方協商解決；協商不成，雙方同意提交甲方所在法院仲裁。
七．其他事項
1．本顧問合約的未盡事宜，雙方可以簽訂補充顧問合約，顧問合約與本顧問合約具有同等效力。
2．乙方不得將本顧問合約合作事項進行轉委託。
3．本顧問合約一式貳份，雙方各執壹份，雙方簽字蓋章後生效。
